thebostonlegalmarket.com, d/b/a, ("BLM") and:

("Client") enter into the following agreement and contract:

BLM will provide ongoing access to its database of full profile pages and resumes on its website to the Client, said access to be provided by way of a password chosen by the Client.

In return for furnishing such data on its web site to the Client, the Client agrees in consideration thereof to the following:

Payment
The Client agrees to make payment of BLM's full and complete fee within ten (10) days of the hiring of any candidate the Client identifies by gaining access to the BLM website full profile pages and/or resumes or within 10 days of entering into an agreement with such a candidate to work on a contract basis or as an independent contractor no matter how short the assignment or time period of that contract.

The fee is due and payable 10 days after the Client hires a candidate.

The Client agrees to pay a fee to BLM for each candidate the Client hires if the Client hires them or enters into a contract with them to engage them to work as an independent contractor for the Client at anytime up to one year after the Client has last viewed their full profile page and/or resume on the BLM website. The Client agrees to pay BLM's fee whether or not the Client has received that candidate's resume or had an introduction to that candidate or contact with that candidate at anytime before or after the last time the Client has viewed a candidate's full profile page and/or resume on BLM's website.

If before viewing a candidate's full profile page and/or resume, the Client has concerns about obligating itself to pay BLM's fee for a candidate the Client may have already had contact with they may contact BLM and request identifying information in order to decide if the Client has already had contact in some manner with that particular candidate and does not want to review the full profile page and/or resume of that candidate.

Fee Schedule
BLM's fees are as follows:
Attorneys: $2,000.00
Technical Specialist  $1,500.00
Paralegal:  $1,000.00
Partner with a book of business under$300,000.00: $5,000.00
Partner with a book of business over $300,000.00: $10,000.00


"Premier Source" Promotional Fees:
Attorneys: $1,000.00
Technical Specialist  $750.00
Paralegal:  $500.00
Partner with a book of business under$300,000.00: $2,500.00
Partner with a book of business over $300,000.00: $5,000.00

There are no grace periods, rebates, trial periods or cancellations. The Client is free to examine all full profile pages and/or resumes as often as desired, anytime, without charge. Only when the Client actually hires a candidate or engages one as an independent contractor after viewing their full profile page and/or resume is the Client obligated to pay BLM's fee.

By entering into this contract with BLM the Client represents that it is willing and able to pay BLM's fee for each candidate the Client identifies and hires or causes to be hired as an employee or engages as an independent contractor by gaining access to the BLM website full profile pages and/or resumes.

Incomplete Profiles and/or Resumes
The Client acknowledges that candidates may not complete each entry on the full profile page. The Client agrees that nevertheless it is still obligated to pay BLM's fee no matter how much or how little information the candidate provides on the full profile page, whether or not the candidates include a resume or not, no matter how much or how little information that resume contains as long as there is information on that full profile page and/or within that resume to sufficiently identify that candidate by name.

The Client acknowledges that some candidates may not wish to identify themselves when they post profiles and/or resumes on this site. If the information supplied by a candidate on their full profile page and/or resume is not sufficient enough to identify them, then the Client may request such information. If the Client makes such a request and BLM cannot provide the Client with contact information sufficient enough to identify that candidate by their full and complete name within five business days after the Client has viewed their profile and/or resume and made a request for such identifying information, the Client has no obligation to pay BLM a fee if the Client hires that candidate as a result of contact or communication outside of the BLM website.

No contract until approved by BLM
BLM has no agreement with the Client and is under no obligation to the Client until BLM acknowledges to the Client that it is in receipt of a signed contract and the Client has been notified by BLM that the Client has been approved.

Who is eligible to be a client
All corporations and business entities who wish to enter into a contractual agreement with BLM must have first established to BLM's satisfaction they are a bona fide, currently existing, ongoing business, law firm or law practice in need of the type of services provided by BLM.

The Client hereby represents that it will not hire or engage as an independent contractor any candidate identified by the Client from gaining access to the BLM website's full profile page and resume database if for any reason the Client is unable or unwilling to pay BLM's fee.

Confidentiality
The Client agrees to maintain confidentiality as to all candidates information obtained from BLM and provided to the Client by BLM.

The Client agrees not to share, distribute, circulate, publicize or publish outside of the Client's organization any information obtained from BLM or provided to the Client by BLM about any candidate who has submitted a resume and/or profile to the BLM website.

Password
Each registered approved Client gains access to BLM's full profile and resume database via a password chosen by the Client. The Client acknowledges that their chosen password gives anyone who possesses it along with the email addresses the Client enters when registering with BLM access to full profile pages and/or resumes and the identity of BLM candidates. The Client further acknowledges that the use of that combination of chosen password and email address to view full profile pages and/or resumes of BLM candidates will obligate the Client to pay BLM's fees in accordance with the payment terms set forth above. In addition the Client agrees that if the full profile page and/or resume of any candidate is viewed by anyone gaining access to BLM’s full profile and resume database with the Client's chosen password and email address and that candidate is then hired by anyone whether it be the Client or any other person or entity as a direct result of being identified by using the Client's password and email address to access their full profile page and/or resume on the BLM website the Client is obligated to pay BLM a fee as set forth above.

The Client acknowledges that the password and email address chosen by the Client is the only way the Client can view full profile pages and resumes and the Client agrees to be responsible for any use by anyone of the Client's password to gain access to full profile pages and resumes and agree to be responsible for dissemination of the Client’s password and all consequences thereof.

The Client agrees to assume responsibility for the fee charged by BLM if as a direct result of the Client's failure, act or omission any candidate about whom the Client obtains information through access to BLM's full profile page and/or resume database through use of the Client's password sufficient to determine their identity is hired by anyone else as a result of information obtained by the Client about that candidate's availability for employment within one year of the last time the Client viewed the candidate's full profile page and/or resume.

The Client agrees to be responsible for any harm suffered by BLM as a direct result of the transmission, distribution, dissemination or communication of the Client's password to others, including employees of the Client's own firm or company.

Response to inquiries and requests for status
The Client agrees to respond promptly to any inquiry BLM makes about the Client's interest in any of BLM's candidates and agrees that if it fails to do so the Client's access to BLM's full profile and resume data base can be denied without further notice.

The Client agrees to promptly fill out a candidate query status report for each resume and or full profile they view.

Termination
The Client understands that any violation of any of these rules will result in termination of this contract and/or denial of access to BLM the full profile and resumes database at anytime without further notice.

Cancellation
This contract may be cancelled at anytime by giving at least five business days notice to the other party of cancellation via email at the email address the client has given at registration or to BLM at info@thebostonlegalmarket.com. However despite cancellation by the Client all obligations set forth in the paragraphs above entitled "Payment " and "Response to inquiries and requests for status " are still valid and the Client agrees to make payment listed in the paragraph above entitled "Payment Schedule" for any BLM Attorney/Paraglegal/Technical Specialist it hires after viewing their full profile and/or resume page on BLM’s website for a period of up to one year after giving notice of cancellation.

Miscellaneous
The Client agrees not to hold BLM responsible for any damages the Client may suffer if BLM terminates or denies access to the BLM website and/or full profiles and/or resume data in its database.

The Client agrees that BLM makes no representations or warranties regarding any of BLM's candidates and the Client agrees to accept all responsibility for investigating any candidate's fitness for employment.

The Client agrees not to hold BLM responsible for any inaccuracies, misstatements or misrepresentations contained in any candidates full profile page or resume.

The Client agrees that BLM's failure to respond to a Client's request or provide further information other than information sufficient to identify a candidate does not in anyway relieve the Client of its obligation to pay BLM's fee.

Communications between parties, methods of giving notice
Both parties to this contract agree that all communications between the parties may take place via email at: info@thebostonlegalmarket.com and the email address the Client provides in the Client's registration application.

Once we are in receipt of a signed contract and have reviewed it and approved it we will notify you via email that you have been granted access to the resume profile database. We will return a signed original to you upon approval. You should notify us via email that you have mailed a contract.
